AMD, a leading chipmaker, recently announced its acquisition of server maker ZT Systems in a deal worth $4.9 billion. This move by AMD is part of its strategy to enhance its artificial intelligence capabilities and compete more effectively with industry giant Nvidia. The acquisition includes a contingent payment of up to $400 million based on post-closing milestones.

Following the completion of the deal, AMD plans to sell ZT Systems’ server manufacturing business. This decision aligns with AMD’s focus on strengthening its AI ecosystem and software capabilities. Once the acquisition is finalized, ZT Systems will become part of the AMD Data Center Solutions Business Group. Additionally, AMD intends to seek a buyer for its U.S.-based data center infrastructure manufacturing business.

The deal between AMD and ZT Systems has received approval from AMD’s board and is expected to close in the first half of the next year. With the Biden Administration focusing on mergers and acquisitions in the tech sector, the transaction will undergo regulatory scrutiny to ensure compliance with antitrust and competition laws.

The announcement of the acquisition has led to a positive market response, with shares of AMD rising more than 3% before the market opened.
